1. Agreement to terms

These Terms of Use ("Terms") govern your access to and use of the Passn mobile application and any related services (collectively, the "Service"), operated by **Passn LLC** ("Passn", "we", "us"). By creating an account, signing in, or using the Service in any way you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Age requirement (18+)

The Service is restricted to adults who are at least 18 years of age. You must be 18 or older to register, even if your local law permits a lower age of digital consent. We enforce this through:

a hard age gate at registration;
a CHECK constraint at the database layer rejecting any date of birth less than 18 years ago;
moderation processes that suspend accounts found to be operated by minors and report applicable activity to the relevant authorities.

If we have reason to believe you are under 18 we will terminate your account and delete the associated data.

3. Eligibility

To use the Service you also represent that:

you are not prohibited from using the Service under the laws of any jurisdiction applicable to you;
you are not on any sanctions list maintained by the United States, the United Kingdom, the European Union, or your country of residence;
you will not access the Service on behalf of another person without their explicit authorisation.

4. Your account

You agree to (i) provide accurate and current information at registration, (ii) protect the confidentiality of your credentials, (iii) notify us immediately of any suspected unauthorised access. You are responsible for all activity that occurs through your account.

You may sign in with email and password, Apple Sign In, or Google Sign In. When you sign in with a third-party provider you authorise us to receive the identifiers and email address that provider returns.

5. Acceptable use & Community Guidelines

You agree to comply with our Community Guidelines, which are incorporated by reference into these Terms. In summary:

no harassment, hate speech, threats, or stalking;
no sexual solicitation, paid sexual services, or sexually explicit content;
no impersonation, scams, or commercial spam;
no content that sexualises or endangers minors — this is reported to the National Center for Missing & Exploited Children (NCMEC) or your local equivalent;
no automated access, scraping, or reverse engineering.

We may at our sole discretion warn, suspend, ban, or take any other action against accounts that violate the Community Guidelines or these Terms.

6. Content you upload

You retain ownership of the content you upload (photos, profile information, messages, voice notes). By submitting content you grant Passn a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display the content solely to operate, maintain, and improve the Service. This licence ends when you delete the content or your account, except where retention is required by law or by an ongoing safety investigation.

You confirm that you have the right to upload everything you submit and that the content does not infringe any third party's rights.

7. Location data

You authorise Passn to process your device location in order to surface other users whose paths have crossed with yours. This happens while you are using the Service, and — only if you grant the "Always" location permission — also periodically in the background. Background processing is optional and can be switched off at any time without losing access to the Service. Your exact real-time location is never shown to other users: only approximate encounter centres — the midpoint between the two of you, randomly shifted by up to 50 metres — are displayed. See the Location Disclosure for the full mechanics. You can disable location at any time from Settings or your operating system.

8. Calls and messaging

Once you and another user have mutually liked each other, the Service enables you to exchange messages, photos, voice notes, and place voice/video calls. Calls are routed through a third-party real-time infrastructure provider (Agora). We issue short-lived call tokens server-side; the underlying media stream is end-to-end transmitted through Agora's network and is subject to Agora's terms.

We may store metadata about calls (caller, callee, duration, time) but do not record call audio or video.

9. Subscriptions and in-app purchases

Some features ("Passn Plus") require a paid subscription processed through the Apple App Store or Google Play Store. See Subscription Terms for pricing, renewal, refund, and cancellation rules. Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period. Manage and cancel directly in your App Store or Play Store account.

10. Intellectual property

The Service, including its software, design, brand, and content (excluding user-uploaded content), is owned by Passn and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, sell, or lease any part of the Service.

11. Privacy

Our Privacy Policy explains what personal data we collect, why, and how we handle it. By using the Service you acknowledge that you have read it.

12. Termination

You may stop using the Service and delete your account at any time from Settings → Delete account. Deletion is subject to a 14-day grace period during which you may cancel.

We may suspend or terminate your access to the Service if you violate these Terms or the Community Guidelines, if continued provision exposes us or our users to harm, or if we cease operating the Service.

13. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Passn disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.

Passn does not verify the identity of all users. You assume the risks of any in-person meeting arising from the Service. Use common sense: meet in public places, tell a friend, trust your instincts. The Safety Center inside the app collects more guidance.

14. Limitation of liability

To the maximum extent permitted by law, Passn will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising from your use of the Service.

In jurisdictions that do not allow the exclusion of certain warranties or limitations on liability, our liability is limited to the greatest extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless Passn, its officers, directors, employees, and agents from any claim arising out of (i) your violation of these Terms, (ii) your violation of any third party's rights, or (iii) content you upload.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles, because that is where Passn LLC is registered.

Before starting any formal proceeding, please contact us at legal@passn.app: most issues are resolved faster that way. If a dispute cannot be resolved informally, it will be brought in the state or federal courts located in the State of Delaware, and both you and Passn LLC consent to the jurisdiction of those courts.

Nothing in this clause limits any non-waivable consumer rights you have under your local law. If you are a consumer resident in the European Union, the United Kingdom, or Türkiye, you keep the right to bring proceedings in the courts of your own country of residence and to rely on the mandatory consumer-protection rules that apply there.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in-app at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
